Urbian Terms and Conditions

These general terms and conditions (hereinafter, the “Terms and Conditions”) govern access to and use of the digitally delivered platform commercially identified as Urbian (hereinafter, “Urbian” or the “Platform”), operated by Mariano Madou, tax ID (CUIT) 20-27387009-2, Argentine Republic (hereinafter, the “Owner”). Users shall be bound by these Terms and Conditions together with the Privacy Policy and any other policies, notices, or particular conditions incorporated by reference.

1. Acceptance of the terms

Access to and use of Urbian are voluntary and subject to these Terms as published at the time of use.

If you do not agree with any part of this document, you must refrain from using the platform and from creating or maintaining associated accounts.

This document is supplemented by the Privacy Policy and by any commercial terms, annexes, or specific policies the Owner publishes for particular modules or plans.

2. Definitions

For clarity, the following definitions apply:

  • Urbian / Platform: the software, interfaces, apps, and online services offered under the Urbian brand by the Owner for administrative and operational management of homeowner associations.
  • User: a natural or legal person accessing Urbian with or without a registered account, as applicable.
  • Administrator: a user with management privileges for the association (or equivalent), according to the permission configuration enabled on the account.
  • Collaborator or sub-administrator: a user granted partial permissions by an administrator to operate on association data.
  • Resident / owner / tenant / co-owner: end users linked to one or more functional units according to information entered on the platform.
  • Association / consortium: the community represented in Urbian as the tenant workspace.
  • Functional unit: apartment, retail unit, parking space, or other registered unit used for billing, communication, or operations within the association.
  • Services: features made available by Urbian under the subscribed plan or a trial.
  • Additional services: optional offerings (e.g. integrations, training, or specific assistance) that may be priced and billed separately.

3. Capacity to contract and use the platform

Users must be at least eighteen (18) years old or have the legal assistance and authorisation required by applicable law.

Those acting on behalf of legal entities represent that they have sufficient authority to bind that entity.

Administrators represent that they have sufficient appointment, mandate, or authorisation to operate the association in Urbian and to enter third-party data when appropriate.

4. Registration and accounts

Information provided at sign-up and in association settings must be valid, accurate, and kept up to date.

Credentials are personal, confidential, and non-transferable. Users are responsible for all use of their account that could reasonably be prevented under good security practices.

Urbian may suspend or restrict accounts in case of false data, misuse, breach of these Terms, or well-founded legal requirements.

Invitations to other association users must be sent through the channels enabled on the platform and must respect recipients’ privacy.

5. Roles and permissions

Administrators may manage associations, units, people, tickets, suppliers, communications, expenses, and settings within the scope of the subscribed product.

Collaborators may only access areas and actions authorised by an administrator.

Residents and co-owners may access information and features according to their link to the registered units.

Urbian does not by default verify the validity of assembly decisions, internal appointments, or corporate documentation unless a specific document workflow is implemented and the information is provided by users.

6. Service conditions

Urbian is a SaaS platform for organising administrative and day-to-day operations; it does not replace legal, accounting, or registry obligations of each association.

Features may include, depending on the plan and configuration: tickets, suppliers, communications, meetings, units, residents, expenses, payments, documents, reports, AI scheduling tools, and other capabilities added over time.

Administrators and authorised users are responsible for the accuracy and currency of the information they enter.

Unless a professional service is expressly contracted and billed separately, Urbian does not provide legal, tax, accounting, or employment advice.

7. Migration, import, and data entry

Users may import or upload information from PDFs, spreadsheets, or other formats supported by the platform.

Users are responsible for reviewing the accuracy of imported data and fixing inconsistencies before relying on it for important decisions.

Urbian may provide technical assistance or automation but does not warrant that incorrect source data will yield correct results without human review.

8. Payments, billing, and additional services

Use of Urbian may be subject to prices, plans, and commercial terms published on the site or in contractual proposals.

Additional services may have their own pricing and terms, disclosed before purchase when applicable.

Integrations with payment processors or other providers may be subject to those third parties’ additional terms.

Non-payment or material breach may result in suspension or termination of access, without prejudice to specific agreements.

9. Permitted use and prohibitions

You may not use Urbian unlawfully, fraudulently, or in a way that infringes third-party rights.

You may not attempt unauthorised access to systems or other users’ data, compromise security or availability, perform improper reverse engineering, unauthorised scraping or competitive monitoring, upload malware, or disrupt the reasonable operation of the platform.

10. Availability, support, and security

Urbian will use reasonable efforts to maintain service availability and security in line with common industry practice.

Uninterrupted availability and an error-free service are not guaranteed. Interruptions may occur due to maintenance, internet failures, third-party providers, or force majeure.

Users must use compatible devices and connections and follow basic device security practices.

11. Liability

Urbian acts as a technology provider and is not a party to private relationships between administrators, associations, residents, suppliers, or other third parties.

Urbian is not liable for users’ administrative decisions, disputes between users, user-generated content, or third-party breaches.

To the maximum extent permitted by applicable law, Urbian’s aggregate liability to the user for the service shall be limited as set out in contract or, absent specific terms, in a manner reasonable for a SaaS offering.

12. Personal data and privacy

Processing of personal data is described in the Privacy Policy published on this site, which is incorporated into these Terms by reference.

In Argentina, Law 25.326 on Personal Data Protection and related regulations apply. Data subjects may exercise access, rectification, update, and deletion rights where applicable, following the procedures provided.

13. Intellectual property

The Owner retains rights to software, trademarks, design, proprietary documentation content, and associated technology.

You receive a limited, revocable, non-exclusive, non-transferable licence to use the platform for the term of the service under these Terms.

Unauthorised copying, modification, distribution, resale, or exploitation of protected software or materials is prohibited.

14. User-generated content

Users remain responsible for information, documents, messages, and files they upload or send through Urbian.

Users must have authorisation when entering personal data or documents relating to third parties.

Urbian may remove or restrict content that breaches these Terms, the law, or third-party rights, or when necessary to protect service security.

15. Integrations and third parties

The platform may integrate external services (payments, messaging, storage, etc.). Those services are governed by their own terms and policies.

Urbian does not control or guarantee continuous availability or conduct of third parties and will not be liable for their failures except where mandatory law requires otherwise.

Third-party trademarks mentioned on the site belong to their respective owners. References describe technology integrations or functional mentions and do not imply sponsorship, certification, or a commercial partnership unless expressly stated.

16. Termination, suspension, and cancellation

Users may request account closure according to the mechanisms enabled and the applicable contractual conditions.

Urbian may suspend or terminate access for breach, non-payment, security risks, abusive use, or legal requirements.

Termination does not release outstanding obligations or records that must be retained by law or legitimate documented interest.

17. Changes

Urbian may modify these Terms, features, or commercial conditions. The current version will be published on this page with a last-updated date when available.

Continued use after publication may constitute acceptance of changes unless applicable law requires additional consent.

18. Notices

Communications may be sent by email, through the platform, in-app notifications, or other channels indicated on the account.

19. Governing law and jurisdiction

Unless a separate binding agreement provides otherwise, these Terms are governed by the laws of the Argentine Republic.
